1. Agreement to Terms

By accessing or using LocalGroove (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

LocalGroove is operated as a sole proprietorship doing business as LocalGroove ("we," "us," or "our").

2. Our Mission

LocalGroove exists to help music enthusiasts, bands, and venues—especially independent venues and smaller artists—connect so live music can continue to thrive. We aim to provide the best possible match between you and live music experiences, not to maximize revenue.

Transparency Commitment: Any sponsored or paid content placement will be clearly identified. We do not use potential advertising revenue as the primary factor in how we prioritize or display information.

3. Description of Service

LocalGroove aggregates live music event information from various venues and sources to help you discover concerts and performances. The Service may include:

4. Important Disclaimers About Event Information

THE EVENT INFORMATION DISPLAYED ON LOCALGROOVE IS AGGREGATED FROM THIRD-PARTY SOURCES USING AUTOMATED METHODS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY EVENT INFORMATION.

Accuracy of Information

Event details including but not limited to dates, times, ticket prices, venue locations, and performer lineups may be:

Artist and Band Matching

We use algorithms to match artist names with related information (videos, music, genres). Due to the nature of artist names (common names, similar names, name changes), these matches may be incorrect. An artist profile may display information about a different artist with a similar or identical name.

Your Responsibility

FOR DEFINITIVE EVENT INFORMATION, YOU MUST VERIFY DETAILS DIRECTLY WITH THE VENUE OR OFFICIAL TICKET SELLER. Always click through to venue links or official sources before making travel plans, purchasing tickets, or arriving at a venue.

We are not responsible for any inconvenience, expense, or loss resulting from reliance on information displayed on LocalGroove, including but not limited to:

9. Intellectual Property

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALGROOVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes but is not limited to:

OUR TOTAL LIABILITY for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow limitation of certain damages, so some of the above limitations may not apply to you.

Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION, rather than in court, except that you may assert claims in small claims court if they qualify.

Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA). The arbitration shall take place in San Francisco County, California, or another mutually agreed location.

Waiver of Class Actions

YOU AND LOCALGROOVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@localgroove.live within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.
